General terms & conditions

1. Fees and payment terms.

  • The Good Agent S.L., referred to below as TGA, offers its clients two different real estate service packages, called “Essential” and “Complete”. 
  • The Essential package costs €3,500.- VAT included (€3,750.- for detached homes or homes larger than 150 m²). 
  • Complete package – €5,500.- VAT included (€5,750.- for detached homes or homes larger than 150 m²). TGA arranges the viewings, with a maximum of 50 viewings included in this package. Any optional services the client chooses to add are agreed and invoiced separately.
  • The assignment is exclusive. While the contract is in force, the client may not hire another real estate agent, intermediary, or platform, nor negotiate directly outside of TGA, for as long as the assignment lasts, including any extension of it. 
  • Duration: 12 months. After the initial 12-month period, the assignment can be extended if both parties agree, by signing an extension agreement. If it is extended, the client must pay an additional €350.- VAT included for each extra year. This amount is due at the start of each extension period and will be invoiced immediately.
  • Payment terms:
    • The start-up costs, regardless of the package chosen, come to €800.- VAT included and must be paid by the client when the assignment is signed. This amount is non-refundable, except in the situations described in clause 4 (Right of withdrawal).
    • The remaining amount, depending on the package chosen, must be paid by the client on the same day the public deed of sale (escritura pública) is signed before the notary.
  • By signing the assignment, the client expressly authorizes TGA to inform the notary so that, at the time of transfer, the notary withholds from the sale price the amount the client still owes to TGA.
  • If the start-up costs are not paid, TGA has the right to suspend or terminate the assignment.
  • If the client withdraws unilaterally, the following will always be due: the start-up costs of €800.- (already paid) plus a cancellation fee of €800.- for the Essential package, or €1,800.- for the Complete package.
  • All amounts stated include VAT.

2. Services included.

  • The Complete package includes a maximum of 50 viewings, of the same property or different ones, within the agreed fee. TGA will let the client know once the 50-viewing limit is reached. From the 51st viewing onward, the client has two options: continue with viewings arranged by TGA for an extra €40.- VAT included per additional viewing, or take over the viewings personally from that point on. The client must inform TGA of this choice in writing, in a way that can be clearly proven.
  • TGA carries out the assignment with the greatest care and in the client’s interest. This is a best-efforts obligation, not a guaranteed result. Neither the sale nor a minimum number of viewings is guaranteed.
  • TGA decides which qualified professional carries out the assignment. This is not a breach of contract.
  • TGA reserves the right to change these general terms and conditions. If they are changed, the client will be informed in writing. If the client does not accept the change, the client has 30 days to end the assignment. Otherwise, the amended terms and conditions will apply.

3. The client’s obligation to provide the necessary information

  • The client must provide complete and truthful information about the property, including any known defects or hidden faults. If false information is given to TGA or to potential buyers, the client alone is legally responsible for this.
  • The client must cooperate with identity checks and comply with the obligations under Spanish anti-money-laundering law (Law 10/2010).
  • The client must prove ownership of the property and the right to sell it. If there is more than one owner, all owners must sign the assignment, or provide a valid power of attorney.
  • The client must provide the required documents within the agreed deadlines. If there is a delay, TGA may suspend the assignment.
  • Complete package: the client must keep the property clean and in a suitable condition for viewings.
  • The client must pass on all offers and interested parties to TGA, rather than negotiating with them directly.
  • The sale price is set together with TGA. If the price the client wants does not, in TGA’s judgement, match the market, TGA may refuse or terminate the assignment.
  • Release from liability: the client releases TGA from any third-party claim arising from incorrect or incomplete information provided by the client.
  • All rights to the marketing material produced by TGA (photographs, floor plans, sales texts) belong to TGA. The client is given the right to use this material for as long as the property is for sale, but may not change the material without TGA’s permission. Once the assignment ends, the right to use this material for another sale process ends as well.

4. Right of withdrawal.

The client has 14 calendar days from signing the assignment to withdraw from it unilaterally, by informing TGA clearly and verifiably of the intention to end the contract. If the client gives this notice within that period, any amount already paid in advance will be refunded. This right of withdrawal only applies if TGA has not yet started carrying out the assignment before the client’s notice of withdrawal. If TGA has already started carrying out the assignment, the right of withdrawal no longer applies.

5. Data protection

In accordance with Regulation (EU) 2016/679, the General Data Protection Regulation (GDPR), and Organic Law 3/2018 on the Protection of Personal Data and the guarantee of digital rights (LOPDGDD), the data requested is limited to what is strictly necessary to carry out the contracted service. It will never be used for any purpose other than the contracted service, and will not be shared with third parties except where necessary to carry out that service. The data will only be processed in order to properly carry out the contracted service.

The data controller is Eric van Heesen. Where personal data about a recipient has not been provided directly by that person, it will likewise not be shared with third parties, without prejudice to that person being informed of the source of the data provided in connection with the contracted service, in accordance with the applicable law.

6. Applicable law, prevailing language version, and competent court

This contract is governed by Spanish law. The parties agree that any dispute, conflict, or claim arising from this contract will be submitted to the Courts of Valencia, as this is the place where the contract was signed and where the services under this contract are provided. In case of any discrepancy, the Spanish-language version of this document prevails when resolving any question or conflict, regardless of any other language into which the document may have been translated.
